Master Terms of Service

1. Legal Entity & Contracting Party

These Master Terms of Service ("Terms") constitute a binding legal agreement between the entity or individual accessing or using the platform ("Customer", "User") and:

By executing an Order Form, registering an account, or accessing Mhoo Co., Ltd.’s managed software, APIs, or AI agent orchestration services (collectively, the "Service"), Customer agrees to these Terms.

2. Managed Intelligence Provider (MIP) Framework

Mhoo Co., Ltd. operates as a Managed Intelligence Provider (MIP), delivering digital labor, automated reasoning workflows, and orchestrated AI agent solutions.

• Input & Output Ownership: Customer retains sole ownership of all prompts, proprietary data, context, and documents uploaded or transmitted to the Service ("Inputs"). Subject to full payment of applicable fees, Mhoo Co., Ltd. assigns to Customer all right, title, and interest in generated responses and deliverables ("Outputs").
• Proprietary Architecture: Mhoo Co., Ltd. retains all ownership, intellectual property, and trade secrets in the underlying agent orchestration code, prompt engineering frameworks, system workflows, custom connectors, and platform infrastructure.
• Zero Model Training Guarantee: Mhoo Co., Ltd. covenants that Customer Inputs and Outputs shall NOT be used by Mhoo Co., Ltd. or disclosed to third-party foundation model providers for training public, multi-tenant, or shared machine learning models without express written consent.
• Non-Deterministic Outputs & Human-in-the-Loop (HITL): Customer acknowledges that AI agents generate non-deterministic outputs that may contain errors, inaccuracies, or "hallucinations." Outputs are provided for operational assistance only. Customer accepts sole responsibility for implementing Human-in-the-Loop (HITL) review and validation before taking commercial, legal, operational, or financial actions based on Outputs.
• Agent Performance & Model Drift: Managed intelligence services include ongoing monitoring and maintenance. Customer acknowledges that underlying foundation models and system APIs periodically update, requiring Mhoo Co., Ltd. to perform model retraining, prompt tuning, and drift mitigation to maintain baseline performance.

3. End-to-End Infrastructure & Cloudflare Security Posture

Mhoo Co., Ltd. enforces enterprise-grade security controls across all customer interactions:

• Transport & Boundary Security: Customer traffic is protected via Cloudflare End-to-End (E2E) SSL/TLS strict encryption, Web Application Firewall (WAF), and DDoS mitigation.
• Zero Trust Access: Network ingress and administrative system access operate under strict Zero Trust Network Access (ZTNA) policies with continuous identity verification.
• Data Transit Safeguards: Customer Inputs are encrypted in transit over Cloudflare-secured edge routes using TLS 1.3.

4. Commercial Terms, Billing, and Outcome Monetization

• Merchant of Record: Mhoo Co., Ltd. acts as the legal Merchant of Record. Payments are processed via Stripe, Inc.
• Pricing & Billing Structures: Fees are billed based on the selected tier in Customer's Order Form, which may include:

1. Subscription / Agent FTE Fees: Recurring monthly/annual fees per active digital agent. 2. Consumption / Per-Action Fees: Usage-based charges calculated per completed transaction, API call, or processed record. 3. Outcome-Based Fees: Performance fees tied to defined metric triggers (e.g., resolved support tickets, processed invoices) as detailed in an applicable Order Form.

• Auto-Renewal & Cancellation: Recurring subscriptions auto-renew unless canceled via the workspace administration portal at least 24 hours prior to the billing cycle end date.
• Taxes: Stated rates exclude applicable sales, use, value-added, or local taxes. Mhoo Co., Ltd. will calculate and collect required taxes at checkout based on billing address details.
• Non-Refundable: All fees paid are non-refundable except where mandated by applicable law or explicitly specified in a signed Enterprise Order Form.

5. Warranties, Disclaimers, and Limitation of Liability

• Disclaimer of Warranties: The Service is provided "AS IS" and "AS AVAILABLE." Mhoo Co., Ltd. disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• Limitation of Aggregate Liability: To the maximum extent permitted by law, the aggregate liability of Mhoo Co., Ltd. arising out of or related to the Service shall not exceed the total fees actually paid by Customer to Mhoo Co., Ltd. in the twelve (12) months preceding the claim.
• Exclusion of Indirect Damages: Neither party shall be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, business interruption, or loss of business data.

6. Governing Law, Jurisdiction, and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Thailand, without giving effect to conflict-of-laws principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be submitted to the courts of competent jurisdiction in Bangkok, Thailand, unless applicable law requires otherwise.

7. Upstream Open Source & License Attribution

The Service incorporates software components derived from Twenty (developed by TwentyHQ). Mhoo Co., Ltd. claims no ownership over upstream Twenty source code or marks. Complete license disclosures are available on our Open Source Notice Page.
